Corporate Governance Paralegals (Remote, Toronto-based)

We are currently seeking corporate governance paralegals based in the Greater Toronto Area to join our bench of fully vetted candidates working secondments for our top global clients on a remote basis. Responsibilities: Assist client's legal team in drafting and reviewing corporate governance documents, including board resolutions, bylaws, policies, and charters Conduct research and analyze legal and regulatory requirements related to corporate governance and compliance Maintain and update corporate records, including board and committee minutes, shareholder records, and other governance-related documents Assist with the preparation and filing of corporate documents including annual reports, proxy statements, and SEC filings Minimum Qualifications: 10+ years of corporate governance experience gained working as a paralegal in a large corporate in-house environment Strong understanding of corporate governance principles and best practices and familiarity with corporate filings, SEC regulations, and compliance requirements Proficient in legal research tools, databases, and related software Open to working in an engagement-based role, seconded to clients on a temporary basis Ability to work remotely, located in the Greater Toronto Area Compensation, Benefits & Location: This role offers a range of competitive compensation and a highly competitive benefits package in the alternative legal services marketplace that includes health benefits, 401K and more.
