We are looking for limited-scope legal support for a Delaware C-Corp founder equity documentation matter. There is an existing equity-related agreement between the company and a co-founder/service provider. We are looking to review the existing agreement, update the relevant documents, and embed additional agreed terms so the final arrangement is properly documented. The additional terms may relate to final share allocation, purchase price, vesting or earned equity structure, required company approvals, authorized share increase if needed, equity pool structure, founder share allocation, and proper issuance mechanics. At this stage, before sharing company names, documents, cap table details, investor names, or other sensitive information, we would like to confirm whether you have experience with this type of startup equity documentation work and whether you can handle it within budget of around $1,200. The expected scope should cover the most important work needed to properly document the arrangement: Review the existing equity-related agreement and the additional agreed business terms that need to be embedded into the final documentation. Advise on the proper Delaware C-Corp structure for documenting the agreed equity arrangement, including authorized share count, equity pool, founder shares, and the agreed share issuance to the co-founder/service provider. Confirm the required corporate approvals and legal steps, including board consent, stockholder consent if needed, amendment or supplement to the existing agreement if needed, and any actions required if the company needs to increase its authorized shares. Draft or revise the necessary documents to properly reflect the final arrangement, which may include a stock purchase agreement, vesting or earned equity agreement, board consent, stockholder consent, share issuance documents, amendment or supplement to the prior agreement, and related documents. The goal is to make sure the final structure is properly documented, enforceable, Delaware C-Corp compliant, and fundraise-friendly. Before we share sensitive company information or documents, we would like to confirm your availability, relevant experience, estimated cost, and whether this can be handled as a fixed-fee or limited-scope project.
